1. Introduction

Thank you for your interest in contributing to the Engramic open-source project (the "Project"). This Contributor License Agreement ("CLA") describes the terms under which You ("Contributor") agree to provide Contributions to Preisz Consulting, LLC ("Company").

2. Definitions

2.1 "Contribution"

Any original work of authorship, including software code, documentation, or any other material that Contributor intentionally submits to the Project.

2.2 "You" or "Contributor"

The individual or entity making a Contribution.

2.3 "Company"

Preisz Consulting, LLC, the legal entity managing the Project.

3. Grant of Rights

3.1 Copyright License. Contributor grants Company a perpetual, worldwide, non-exclusive, irrevocable, royalty-free, sublicensable license to use, reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute Contributions.

3.2 Patent License. If Contributor holds patent rights related to the Contributions, Contributor grants Company a non-exclusive, worldwide, royalty-free license to make, have made, use, sell, offer for sale, and distribute the Contributions, with no obligation to pay royalties.

3.3 Moral Rights. Contributor waives and agrees not to assert any moral rights in the Contributions.

4. Contributor Representations

4.1 Legal Right to Submit. Contributor represents that they have the legal right to submit Contributions and that their Contributions do not infringe the intellectual property rights of any third party.

4.2 Employer's Rights. If Contributor’s employer has rights to Contributions, Contributor confirms they have obtained permission to submit the Contributions or that their employer has waived such rights.

4.3 "As-Is" Contributions. Contributions are provided "as-is" without warranties or guarantees of any kind.

5. Source Code License

Contributions to the Project will be licensed under the applicable open-source license(s) adopted by the Project, which may include permissive licenses such as MIT, Apache 2.0, or other applicable licenses.

6. No Obligation to Use

Company is not required to use or distribute Contributions and may decide to include, exclude, or modify Contributions at its sole discretion.

7. Termination

This agreement remains in effect unless terminated by mutual agreement. However, the licenses granted herein shall survive termination for any Contributions submitted prior to termination.

8. Governing Law

This CLA shall be governed and interpreted in accordance with the laws of the State of Washington without regard to its conflict of law principles.
